Black & Decker Acquires Pentair’s Tools Division

Both buyer and seller stress a positive outlook on the pending sale

In the world of people who are interested in woodworking tools, a frenzy of speculation has been going on for months as to who might purchase Pentair’s Tools Group, which includes a number of familiar brands: Delta, DeVilbiss, Porter-Cable, Oldham Saw, and FLEX brand tools, among others. On 19 July 2004 The Black & Decker Corporation and Pentair made joint announcements that Pentair intended to sell its Tools Group to Black & Decker for $775 million in cash. The Tools Group had 2003 sales of $1.08 billion and an operating profit of $82 million.

According to Randall J. Hogan, Pentair chairman and chief executive officer, “The Tools group is a strong business that performed well for Pentair, and we believe it will continue to grow and prosper under the ownership of Black & Decker.” Nolan D. Archibald, chairman and chief executive officer of Black & Decker, expressed similar sentiments in his press release, saying, “The businesses we will acquire from Pentair focus on the large and profitable professional power tool market in North America and are an excellent fit with our DeWalt division.”

The deal is subject to regulatory approval by The Federal Trade Commission, but both companies expect to close on the final sale by the end of this year.
